These Terms and Conditions ("Terms") govern the relationship between you (“the Client”) and Thorne CIS, a sole proprietorship registered in Vaud, Switzerland, operated by Taylor Thorne (“the Consultant”).
By engaging with Thorne CIS’s consulting services, you agree to the following Terms.
1. Services
Thorne CIS provides consulting services related to commercial strategy, sales effectiveness, organizational design, and customer engagement in the healthcare, medtech, and life sciences sectors. Specific scope, deliverables, timelines, and fees will be defined in a separate written agreement, proposal, or statement of work (SOW) for each engagement.
2. Fees and Payment
Fees will be agreed in writing prior to commencement of services. Unless otherwise stated:
Invoices are issued monthly or upon completion of key milestones.
Payment terms are 15 days from the invoice date, payable via bank transfer.
All fees are exclusive of VAT or applicable taxes, which will be added where required.
Late payments may be subject to interest in line with Swiss Code of Obligations Art. 104.
3. Cancellations and Rescheduling
For project-based work, either party may cancel with 14 days’ written notice. In such cases, the Client will be invoiced for work completed to date.
For workshops, coaching, or training sessions:
Rescheduling requires 5 business days’ notice.
Cancellations with less than 48 hours' notice may be billed at 50% of the agreed fee.
4. Intellectual Property
All intellectual property created by Thorne CIS during the engagement (e.g., frameworks, tools, slides, reports) remains the property of Thorne CIS, unless otherwise agreed in writing. Clients receive a non-exclusive, non-transferable license to use materials for internal business purposes.
Client-provided data and proprietary materials remain the property of the Client.
5. Confidentiality
Both parties agree to keep all confidential information strictly confidential and to use such information solely for the purposes of the engagement. This obligation survives the end of the business relationship.
6. Limitation of Liability
Thorne CIS will deliver services with due care, skill, and professionalism. However, liability is limited to the amount paid by the Client for the relevant services. Thorne CIS is not liable for indirect, consequential, or incidental damages, including loss of profit or reputation.
7. Governing Law and Jurisdiction
These Terms and all services provided are governed by Swiss law. Any disputes will be subject to the exclusive jurisdiction of the courts of Vaud, Switzerland.
8. Updates to These Terms
These Terms may be updated from time to time. The latest version will always be available at [Insert Website URL].
